Welcome to RevCAD Designs LLC. By engaging our drafting services, you agree to be bound by the following terms and conditions. Please read them carefully.

1. Introduction

These Terms and Conditions ("Terms") govern the provision of computer-aided design (CAD) and drafting services (the "Services") by RevCAD Designs LLC ("RevCAD," "we," "us," or "our") to you, the client ("Client," "you," or "your"). These Terms, along with any formal proposal or scope of work document, constitute the entire agreement between the parties.

2. Scope of Services

RevCAD agrees to provide drafting services as detailed in a written proposal or scope of work document. This document will outline the specific deliverables, project timeline, and fees for the Services. Any services not explicitly listed in the scope of work will be considered additional and may incur extra charges.

3. Client Responsibilities

To ensure the timely and accurate completion of the Services, the Client agrees to:

  • Provide all necessary information, sketches, and specifications at the beginning of the project.

  • Respond to requests for information and feedback in a timely manner.

  • Ensure that all information provided to RevCAD is accurate and complete. RevCAD is not responsible for errors or omissions resulting from inaccurate or incomplete information provided by the Client.

4. Fees and Payment

4.1. Fee Structure: The fees for our Services will be outlined in the project proposal. We may utilize one of the following fee structures:

  • Fixed Fee: A lump sum for the entire project.

  • Hourly Rate: Billed at our standard hourly rates, which are subject to change with prior notice.

  • Retainer: A pre-paid fee for ongoing services.

4.2. Payment Schedule:

  • A non-refundable deposit of [e.g., 50%] of the total estimated fee is required before any work commences.

  • Progress payments may be required at specified project milestones as outlined in the proposal.

  • The final balance is due upon completion of the Services and prior to the delivery of the final electronic files.

4.3. Late Payments: Invoices are due upon receipt. Payments not received within [e.g., 30] days of the invoice date will be subject to a late fee of [e.g., 1.5%] per month on the outstanding balance. RevCAD reserves the right to suspend all work until payment is received.

5. Revisions and Changes

The project fee includes [e.g., two] rounds of minor revisions. Any substantial changes to the project scope initiated by the Client after the commencement of work will be considered a "Change Order." All Change Orders must be submitted in writing and will be subject to additional fees based on our standard hourly rates.

6. Intellectual Property

6.1. Ownership of Work Product: Upon receipt of final payment, RevCAD grants the Client a non-exclusive, perpetual license to use the final drawings for the specific project for which they were created.

6.2. Ownership of Native Files: RevCAD retains ownership of all native CAD files, templates, and other proprietary tools and materials used in the creation of the drawings. Native files will not be provided to the Client unless a separate licensing agreement is executed and an additional fee is paid.

6.3. Use of Work for Promotional Purposes: RevCAD reserves the right to display and use the completed work in our portfolio, on our website, and in other promotional materials, unless otherwise agreed upon in writing.

7. Confidentiality

Both parties agree to keep confidential all non-public information and materials provided by the other party in connection with the Services. This includes, but is not limited to, proprietary business information, project details, and client data. This obligation of confidentiality will survive the termination of this agreement.

8. Limitation of Liability and Indemnification

8.1. No Warranty: The Services are provided "as is" without any warranty, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. While RevCAD will use its best efforts to ensure accuracy, the Client is responsible for the final review and approval of all drawings.

8.2. Limitation of Liability: In no event shall RevCAD Designs LLC, its members, or employees be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with our Services. The entire liability of RevCAD for any claim arising out of this agreement shall not exceed the total fees paid by the Client for the Services.

8.3. Indemnification: The Client agrees to indemnify and hold harmless RevCAD Designs LLC from and against any and all claims, liabilities, damages, losses, and expenses, including attorney's fees, arising out of or in any way connected with the Client's use of the Services or breach of these Terms.

9. Termination

9.1. Termination by Client: The Client may terminate this agreement at any time by providing written notice to RevCAD. In the event of termination by the Client, the Client agrees to pay for all work completed up to the date of termination at our standard hourly rates. The initial deposit is non-refundable.

9.2. Termination by RevCAD: RevCAD reserves the right to terminate this agreement if the Client breaches any of these Terms, including failure to make timely payments.

10. Dispute Resolution

Any dispute arising out of or relating to this agreement shall be resolved through good-faith negotiation between the parties. If a resolution cannot be reached, the parties agree to submit the dispute to mediation before pursuing any other legal remedies. The laws of the State of [Your State] shall govern this agreement.

11. General Provisions

11.1. Entire Agreement: These Terms, along with any accompanying proposal, constitute the entire agreement between the parties and supersede all prior communications and agreements.

11.2. Amendments: These Terms may be amended or updated by RevCAD at any time. The most current version will be posted on our website.

11.3. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be in full force and effect.
